Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your conduct on the Oakshore platform, website, and all associated services (collectively, the "Platform"). This AUP is incorporated by reference into Oakshore's Terms of Service and constitutes a binding part of the Agreement between you and Oakshore Pte. Ltd.

By using the Platform, you agree to comply with this AUP. Oakshore reserves the right to update this AUP at any time, with notice provided as described in our Terms of Service.

1. Purpose

Oakshore is a curated, high-trust environment for private market participants. This AUP exists to protect the integrity, security, and reputation of the network and all of its participants. Every User — whether a startup founder, an investor, or an authorized representative — is expected to conduct themselves with the professionalism and integrity appropriate to institutional private market activity.

2. Prohibited Activities

You agree that you will not use the Platform to engage in, facilitate, or promote any of the following:

2.1. Fraud & Misrepresentation

• Providing false, misleading, or fraudulent information during onboarding, KYC verification, or at any point during Platform use.
• Misrepresenting your identity, accreditation status, corporate authority, investment track record, or the financial condition of any entity.
• Fabricating or materially distorting financial data, revenue metrics, traction figures, or any information submitted for AI Deal Memo generation or Data Room disclosure.

2.2. Financial Crimes

• Money laundering, terrorist financing, sanctions evasion, bribery, corruption, or any other financial crime as defined under the laws of the Republic of Singapore or any applicable jurisdiction.
• Using the Platform to structure transactions designed to circumvent regulatory thresholds, reporting requirements, or accreditation standards.
• Market manipulation, insider trading, or the dissemination of material non-public information in violation of applicable securities laws.

2.3. Confidentiality Breaches

• Reproducing, distributing, forwarding, screenshotting, or otherwise disclosing any Confidential Information accessed within a Deal Room without the explicit prior written consent of the disclosing party.
• Using information obtained through the Platform for any purpose other than evaluating or conducting the specific bilateral transaction for which access was granted.
• Sharing Deal Room access credentials with unauthorized third parties.

2.4. Security Violations

• Attempting to gain unauthorized access to any part of the Platform, other Users' accounts, or Oakshore's internal systems.
• Probing, scanning, or testing the vulnerability of the Platform's security or authentication measures.
• Uploading, transmitting, or distributing viruses, malware, trojan horses, ransomware, or any other malicious code.
• Interfering with or disrupting the Platform's servers, networks, or infrastructure through denial-of-service attacks or similar methods.
• Circumventing, disabling, or interfering with any security features of the Platform, including Firestore security rules, Firebase App Check, or reCAPTCHA protections.

2.5. Data Abuse

• Scraping, crawling, harvesting, or using automated tools (bots, spiders, scripts) to extract data from the Platform.
• Compiling, aggregating, or repackaging User data, Deal Memos, or any Platform content for distribution outside the Platform.
• Using personal data obtained through the Platform for unsolicited marketing, spam, or any purpose unrelated to the specific transaction for which it was shared.

2.6. Abuse of Platform Features

• Creating multiple accounts to circumvent verification, enforcement, or access restrictions.
• Using the Platform's AI systems to generate content for purposes unrelated to Oakshore's intended use (e.g., generating generic marketing copy, academic papers, or content for competing platforms).
• Manipulating engagement signals, pipeline stages, or connection statuses for deceptive purposes.
• Filing frivolous, vexatious, or bad-faith disputes, chargebacks, or complaints against Oakshore or other Users.

2.7. Harassment & Harmful Conduct

• Harassing, threatening, intimidating, defaming, or abusing other Users, Oakshore staff, or any third party through the Platform.
• Uploading or transmitting content that is discriminatory, hateful, obscene, or otherwise offensive.
• Engaging in any conduct that could bring the Oakshore network or its participants into disrepute.

3. Content Standards

All content uploaded to or created on the Platform (including but not limited to pitch decks, financial models, deal memos, messages, documents, and profile information) must:

• Be accurate, truthful, and not misleading in any material respect.
• Not infringe the intellectual property rights (copyright, trademark, patent, trade secret) of any third party.
• Not contain confidential information belonging to third parties without proper authorization.
• Not violate any applicable law, regulation, or professional code of conduct.
• Be relevant to the Platform's intended purpose of facilitating private market transactions.

4. Your Security Obligations

You are responsible for maintaining the security of your account. This includes:

• Using a strong, unique password for your Oakshore account.
• Not sharing your login credentials with any other person or entity.
• Immediately notifying Oakshore at dpo@oakshore.app if you become aware of any unauthorized access to your account or any security breach.
• Logging out of your account when using shared or public devices.
• Keeping your registered email address current to receive security and compliance notifications.

5. Investigation & Enforcement

Oakshore reserves the right, but is not obligated, to monitor Platform activity and investigate suspected violations of this AUP. Upon determining that a violation has occurred, Oakshore may, at its sole discretion, take any or all of the following actions:

• Issue a formal warning to the User.
• Temporarily suspend the User's account pending investigation.
• Permanently terminate the User's account and revoke all Platform access.
• Remove or disable access to any content that violates this AUP.
• Report the violation to relevant law enforcement or regulatory authorities.
• Pursue any legal remedies available under applicable law, including injunctive relief and damages.

Oakshore's decision to take or refrain from taking any enforcement action shall not constitute a waiver of our right to enforce this AUP in the future. The severity of the response will be proportionate to the nature and impact of the violation.

6. Reporting Violations

If you become aware of any User or activity that you believe violates this AUP, please report it immediately to our Compliance Desk at dpo@oakshore.app. All reports will be reviewed and, where appropriate, investigated. Oakshore will not retaliate against any User who makes a good-faith report of a suspected violation.
